1.Introduction

These General Terms and Conditions of Sale apply (“Conditions“), without restriction or reservation, to all sales concluded by Mantion NA Inc (“Seller“) with non-professional buyers (“customers or clients“) wishing to acquire the products offered for sale by the Seller (“Products“) on the www.slidup.com/ca/en website (“website“).

In particular, they specify the condition of orders, payments, deliveries and the management of possible returns of the Products. The Products offered for sale on the website are mainly the following: sliding systems for cupboard doors, partition doors and glass doors.

These Conditions apply in exclusion of all other provisions, including those applicable to sales in stores or through other distribution and marketing channels.

These Conditions are accessible at any time on the website and will prevail in the event of any contradiction.

The customer declares to have read and accepted them by ticking the box provided for this purpose before placing the order online as well as the Conditions.

In any case, by using this website, the customer is bound by these Conditions, even if the customer fails to read them or no purchase has been made. The Seller reserves the right to update or modify these Conditions at any time without notice.

The customer acknowledges having the required capacity to contract and acquire the Products on the website. As these Conditions may be subject to subsequent modifications, the version applicable to the customer’s purchase is that in force on the website on the date the order is placed.

2. Use of the website

The customer agrees to use the website for legitimate purposes and not for illegal or unauthorized purposes, including in violation of an Intellectual Property Act or Privacy Act. By accepting the Conditions, the customer represents and warrants that he or she is at least of the age of majority in his or her state or province of residence and is legally capable of entering into a legally valid contract.

The customer agrees not to use the website for any activity that would constitute a civil or criminal offence or that would contravene any law. The customer agrees not to attempt to interfere with the network or security features of the website or to gain unauthorized access to the system. Customer also agrees not to allow internet crawlers to archive content or information on the website without the express written permission of the Seller.

The customer agrees to provide accurate personal information such as email address, mailing address and other contact information to enable the Seller to process the order or to contact him if necessary.  The customer agrees to promptly update his or her account and information. He or she authorizes the Seller to collect this information and use it to communicate with him or her in accordance with the Privacy Policy.

3. Offer

The main characteristics of the Products and in particular the specifications, illustrations and indications of dimensions or capacity of the Products are presented on the website.

The customer is required to take note of this before placing an order and to ensure that the order meets his needs. The choice and purchase of a Product are the sole responsibilities of the customer. The Products are described and presented with the greatest possible care and accuracy. In any event, the photographs on the website are not contractual and are provided for information purposes only.

Indeed, considering the graphic resolution adopted by the customer on his computer or computing devices, the shade of the Products presented on the website may present a certain variation. The customer is required to refer to the description of each Product in order to know the essential properties and particularities.

Product offers are valid as long as they are visible on the website, within the limit of available stocks, as indicated when the order is placed. It is specified that when the Product proves to be unavailable after the order has been placed, the customer is informed by email as soon as possible. The Products presented on the website are offered for sale for the 10 provinces and 3 territories of Canada.

The Seller reserves the right to: (a) correct any error, inaccuracy or omission on the website at any time without notice or obligation to the customer or any other person; (b) change, at any time, the Products advertised or offered for sale on the website, the prices, charges, fees and specifications of such Products, as well as any promotional offers and Web content without notice or obligation to the customer or any other person; (c) limit the quantities offered for sale or sold to a customer.

4. Price

The price, in Canadian dollars, of each Product is indicated in the corresponding Product sheet. The shipping costs of the customer’s order will be indicated to the customer at the beginning of the ordering process. In addition, once the order has been validated, the prices and costs will remain accessible in the “Account Access” section of the website. The sum due is payable at the time of the order, in full and in a single instalment.

The Seller reserves the right to modify the prices of the Products presented on the website. However, the Products will be invoiced to the customer based on the prices in force at the time of the validation of the order.

5. Payment

The payment is fully secured thanks to an HTTPS encrypted connection that protects the banking data and the confidentiality of the information that the customer transmits to the Seller on the website.

The “Padlock” icon appears in the browser’s address bar during payment. This security lock is a symbol that proves that the connection is secure.

The customer has the possibility to pay for his orders using different payment methods.

By credit card:

The customer guarantees that he is fully entitled to use the payment card provided for the payment of his order and that this card gives access to sufficient funds to cover all costs resulting from the use of the Vendor’s services.

The following can be used:

Cards issued by VISA, MASTERCARD or AMERICAN EXPRESS.

All of the above-mentioned cards are hereinafter referred to as the generic term “card“.

Depending on the date of the order, a request to debit the customer’s bank account will be sent within 3 days to the customer’s bank. The order will be considered effective after confirmation of the agreement of the bank payment centres.

In accordance with the regulations in force and to ensure the security and confidentiality of their information, the Seller does not memorize the bank details of its customers.

It is therefore up to the customer to save and print his payment certificate if he wishes to keep his bank details relating to his transaction.

The website is equipped with an online payment security system allowing the customer to encrypt the transmission of bank data.

The customer will have to indicate his card number, the month and year of expiry mentioned on it, as well as the cryptogram on the back and then validate his payment. The security system is based on the 3D Secure system with a request for payment authorization from the customer’s bank.

A payment order made by electronic means may not be cancelled. Consequently, the payment of the order by the customer is irrevocable, without prejudice to the customer’s right to exercise his right of withdrawal or subsequent cancellation of the order.

The transfer of ownership of the Product to the customer will only take place when the Seller has received full payment of the price.

Paypal helps protect card information through its online payment system and its security and fraud prevention system.

The customer acknowledges having created his account on the Paypal platform and having accepted the terms and conditions of the Paypal website for its use.

6. Retention of ownership

The delivered Products remain the property of the Seller until full and effective payment of the invoice by the customer (effective collection of the payment by the Seller). These Conditions do not prevent the transfer to the customer of the risks of loss and deterioration from the time of delivery.

7. Availability of Products

In the event of total or partial unavailability of Products or services after the order has been placed, the customer will be informed by e-mail of the delivery of a partial order or the cancellation of the order. The following options will be offered to the customer:

  • Either to be delivered of a Product of equivalent quality and price, within the limit of available stocks. The costs of delivery of a new Product will be borne by the Seller.
  • Either to be reimbursed the price of the Product or service ordered within 30 days of its request.

8. Delivery

1. General enquiries

Orders are subject to stock availability. If an item is out of stock at the time the customer places the order, the Seller will notify the customer and refund the total amount of the order, according to the original method of payment.

2. Place of delivery

The customer must choose the place of delivery: at home, at the office, at a third person’s home, etc. In the event of the absence of the customer or a person capable of receiving the delivery at the address indicated by the customer, a delivery notice will normally be left in the mailbox, it will then be up to the customer to contact the carrier to agree on a new delivery date. The Seller shall not be held responsible for the costs inherent in a possible second delivery.In case of exceeding the storage time by the intermediary, the package will be returned to the Seller. Customer Service will therefore contact the customer for a possible reshipment and, without response from the customer within a reasonable period of time, will make a refund minus the return costs charged by the carrier.

3. Delivery time

The normal delivery time is 3 to 5 working days following the processing of the order. When a package leaves one of the Seller’s warehouses, it is sent by a carrier. When the carrier sends it, the customer is informed of this departure by sending an e-mail summarizing the Products shipped.The maximum delivery time is 30 days from the date of the order of the Product, unless otherwise stipulated to the customer before the order is placed and prior to the final validation of the order. In this case, the Seller will indicate to the customer an estimated delivery date range.In the event of late delivery, the customer may contact the Seller’s customer service department, whose contact details are indicated in the “Contact” section of the website and by selecting the subject corresponding to his or her request.

9. Returns

1. General enquiries

The Customer must return the Product to the Seller within 30 days of sending his decision to withdraw or of reporting a non-conformity:

Correctly protected in its original packaging (undamaged, broken or soiled) together with any accessories, operating instructions and documentation.

Accompanied by the sales invoice to enable the Seller to identify the customer (order number, surname, first name, address).

Without the Product having obviously been used for a long period of time (beyond a few minutes), i.e. provided that the Products do not bear the mark of prolonged use exceeding the time required for their testing to establish the nature, characteristics and proper functioning of the Products.

2. Exchange

No exchanges will be made for defective, altered, cut or damaged goods. If the customer believes that a Product is defective, the customer must communicate, without delay, at 1 (450) 529-1315 or 1 (855) 754-3187 or by email at contact.ca@slidup.com and provide details of the Product and its defect. The Seller will then evaluate the details of the Product and will inform the customer of the measures to follow regarding the shipment of the defective Product or not.

No exchange will be accepted on products that have been modified or cut at the customer’s request.

In the case of an exchange, the Seller will send the customer an identical replacement Product or one of equivalent price and quality.

Refunds do not cover shipping and handling charges shown on the packing slip or invoice. Shipping and insurance costs for all returns must be paid in advance by the customer. The customer is responsible for any loss or damage to equipment that occurs during shipment. Seller cannot guarantee that it will receive the item being returned by the customer. Shipping and handling charges are non-refundable. Refunds will not include the cost of delivery.

10. Warranty

Our guarantee

Within the framework of the manufacturer’s warranty (variable from 1 to 5 years according to the Products), Mantion NA, according to your choice, undertakes either to reimburse the customer for the price of the Product, or to exchange it. Depending on available stocks, the Seller will replace the Product for an identical Product or a Product of equivalent quality and price. The guarantee also applies in the event of delivery of a Product that does not conform or that reveals a hidden defect.

The warranty begins on the date of purchase or delivery from the date on the packing slip and applies to any defect in workmanship or operation under normal use and non-conformity of the Product sold.

The manufacturer’s warranty covers the exchange of spare parts, excluding labour, transport or travel of a technician. The application of the warranty assumes normal use of the Product in accordance with the manufacturer’s recommendations and without the intervention of persons other than those approved by the manufacturer.

The customer must present the invoice in order to confirm that the Product complies with its warranty period.

Contractual guarantee

Certain Products or services may give rise to a contractual guarantee and this will be indicated on the Product sheet. These warranties are clearly detailed on their description sheet and no request will be possible to benefit from a warranty that is broader than the one registered.

The contractual guarantee thus granted by Mantion NA is the one usually granted by the supplier to its customers.

In the event of a problem with a Product, the customer must keep the purchase invoice sent by Mantion NA and contact customer service through the “Contact” section, which will inform him/her of the steps to follow.

Disclaimer of Warranty

Excluded from the warranty are Products modified, repaired, integrated or added by any other person not authorized by the supplier of the said Product. The warranty shall not apply to apparent defects. The warranty will not cover Products damaged during transport or misuse.

11. Force majeure

In the event of an event of force majeure, such as in particular: pandemics, wars, acts of war, boycotts, strikes, natural disasters, blockages of means of transport, floods, storms, explosions, fires, interruptions of electronic means of communication, shortages of raw materials, delivery may be suspended until the event in question has ceased for a period not exceeding one month. In the event of a suspension of more than one month, the contract may be cancelled automatically subject to 7 days’ notice by either party by registered letter with acknowledgement of receipt.

12. Miscellaneous

12.1 In the event that any of the terms of the Conditions are held to be illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in force.

12.2 The information provided by the website is binding between the parties. Elements such as the time of reception or transmission, as well as the quality of the data received shall be deemed authentic by priority as appearing on the Seller’s systems, or as authenticated by the Seller’s computerised procedures, unless the Customer provides written proof to the contrary. The scope of the proof of the information delivered by the Seller’s computer systems is that given to an original in the sense of a written paper document, signed in a handwritten manner.

13. Law – Litigation

These Conditions and the contracts & transactions resulting therefrom shall be governed by and construed in accordance with the laws of the Province of Quebec.

In the event of a dispute, the customer will first contact the Seller to find an amicable solution.

The customer is informed that he or she may have recourse to a conventional mediation procedure, with the Office de la protection du consommateur or an equivalent, depending on the province or territory.

In the event of a dispute, the parties agree that the courts of the Province of Quebec shall have jurisdiction to hear said dispute. The parties agree that the competent judicial district shall be that of Saint-Jean-sur-Richelieu, unless the Law stipulates a separate rule of public order.

In no event shall Seller be liable for any injury, loss, claim, damage, special, exemplary or punitive damages, direct, indirect, incidental or consequential damages of any kind (including, but not limited to, lost profits or lost savings), even if the cause of action is in contract, tort, strict liability, or any other factor arising out of any use or activity related to the use of the website, the content from.

14. Pre-contractual information – Acceptance by the customer

The customer acknowledges having been informed, prior to placing his order, in a legible and comprehensible manner of the present Conditions.

The fact for a natural person (or legal entity) to order on the website implies full and complete adhesion and acceptance of the present Conditions, which is expressly recognized by the customer, who renounces, in particular, the right to rely on any contradictory document, which would be unenforceable against the Seller.
